Frequently Asked Questions

Are any documents required in addition to the Certificate of All Historical Matters (corporate registry certificate)?
Unless the receiving authority requires, for example, that a company representative sign a declaration (声明书 / Declaration), no other documents are required beyond the Certificate of All Historical Matters that you send to us.
Are a power of attorney and a certificate of seal registration required?
If the person who must sign the declaration (声明书 / Declaration) has not been specified, neither a power of attorney nor a certificate of seal registration is required. An administrative scrivener will sign the declaration in the administrative scrivener’s name.
For reference, in most cases we have handled, declarations signed in the administrative scrivener’s name have been accepted without issue. Acceptance remains subject to the receiving authority’s requirements.

Important Notes

A Certificate of All Historical Matters includes the matters shown in a current certificate, together with certain matters deleted from the register since January 1 of the calendar year containing the date three years before the request. It is not a complete record of all changes since incorporation. Ministry of Justice registry guidance (Japanese).

In particular, if you engage us around the end of December and we obtain a Certificate of All Historical Matters after January begins, its recorded contents may be updated slightly compared with the certificate you already have. Please take care.

Put simply:
“When a year changes, the details recorded in a corporate registry certificate may be updated slightly.”
